1. Overview
§1.1 This Captain Partner Agreement (the “Agreement”) constitutes a legally binding contract between Eto Rides (the “Platform”, “Provider”) and the individual captain/driver who registers on, accesses, or operates through the Platform (the “Captain”, “you”).
1.2 This Agreement is intended to safeguard passengers, goods consignors/recipients, captains, and the Platform by prescribing mandatory standards for EV-only operations, lawful service delivery, verified identity and documentation, professional conduct, goods-handling controls, privacy and data-security obligations, and cooperation during incidents or investigations. Any breach or attempted circumvention of these standards may be treated as a material violation and may result in immediate restriction of access, suspension or permanent deactivation, loss or forfeiture of incentives, withholding and/or adjustment of payouts to the extent permitted by law, recovery of losses, and reporting to competent authorities where required or appropriate.
1.3 You remain solely responsible for compliance with applicable law, permits, taxes, and continuous maintenance of valid documents and insurance; expired, falsified, incomplete, or mismatched documents may be treated as a compliance failure and may trigger immediate suspension pending re-verification.
1.4 Safety obligations are non-negotiable and apply at all times, including fatigue limits, conduct standards, and emergency/SOS cooperation; unsafe conduct, non-cooperation, or repeated safety signals may lead to immediate and irreversible account action.
1.5 Goods trips involve heightened risk and stricter controls; carriage of prohibited goods, misdeclaration, failure to complete required verification or photo-capture steps (where enabled), or unsafe handling may result in cancellation, deactivation, and potential personal legal exposure.

2. Parties & Acceptance
§2.1 This Agreement is entered into by and between Eto Rides (the “Platform”, “Provider”) and the Captain whose identity and vehicle details are registered on the Platform. If you operate through, on behalf of, or in association with any third party, you remain fully liable for compliance and performance under this Agreement and shall not assert such association as a defense to any breach.
2.2 By accepting this Agreement within the Captain App (including by tapping “I Accept”), you (a) represent that you have read and understood the Agreement, (b) agree to be legally bound by its terms and all referenced Policies, (c) consent to verification, compliance checks, and enforcement actions permitted under applicable Policies and law, and (d) acknowledge that your acceptance constitutes an electronic signature and a valid record that may be relied upon for enforcement, audit, safety investigations, and dispute resolution.

3. Definitions & Interpretation
§3.1 “Booking” means a passenger or goods request initiated by a user and offered to eligible captains via the Platform. “Trip” means a Booking accepted by the Captain and performed in compliance with applicable law, Platform rules, and required in-app workflow steps (including OTP/verification, confirmations, and photo-capture steps where enabled). “Policies” include the linked Terms, Privacy Policy, Goods Policy, Prohibited Goods list, and any operational or safety rules communicated in-app or otherwise notified from time to time.
3.2 Headings are for convenience only. Where obligations overlap across documents, the stricter safety/compliance requirement shall apply unless prohibited by applicable law. If any provision is held unenforceable, the remaining provisions shall continue in full force to the maximum extent permitted by law.
4. Purpose & Relationship
§4.1 The Platform operates as a technology intermediary that facilitates discovery, matching, booking workflows, safety controls, and dispute-prevention tooling; the Platform does not guarantee minimum ride volume, earnings, uptime, or continuous availability of any feature.
4.2 The Captain acts as an independent contractor. Nothing in this Agreement creates an employer–employee relationship, agency, partnership, joint venture, or exclusivity arrangement. The Captain is not entitled to salary, PF/ESI, paid leave, or fixed working hours by reason of using the Platform.
4.3 The Captain independently determines availability and acceptance of Bookings and shall remain solely responsible for lawful, safe, and professional performance of Trips in accordance with this Agreement and applicable law.
5. Scope of Services
§5.1 The Captain may accept or reject Bookings; however, the Captain shall not refuse, alter, or degrade service on unlawful or discriminatory grounds and shall not manipulate availability, location, or app state to evade verification, compliance checks, or safety controls.
5.2 Services may include passenger mobility (2-seater / 4-seater EV trips) and logistics (Goods Only; Goods + Person), where enabled, and remain subject to city policies, route restrictions, vehicle capacity constraints, and applicable law.
5.3 The Captain shall comply with all required in-app steps and safety guidance (including confirmations, OTP/verification steps, and photo capture for goods where enabled). Failure to complete required steps may adversely affect dispute outcomes and may impact incentives and/or payouts where lawfully permitted.
6. Vehicle & Legal Compliance (EV-only)
§EV-only requirement
6.1 The Captain shall operate only a 100% electric vehicle approved for Platform use and matching the registered vehicle details. Use of an unapproved vehicle, mismatched vehicle/number/profile, identity substitution, or tampering with vehicle or account information may be treated as a material breach and may result in immediate suspension until fully rectified and re-verified.
Mandatory documents & upkeep
6.2 The Captain shall maintain a valid driving licence, vehicle registration, permits (as required), and all local authorizations applicable to the operating area, and shall produce the same upon request.
6.3 The vehicle shall be maintained in roadworthy condition with valid fitness where applicable and basic hygiene/cleanliness; unsafe condition is grounds for immediate offlining and/or suspension.
6.4 The Captain shall maintain legally mandated insurance with timely renewals and continuous coverage without lapses; any lapse may be treated as a compliance failure.
6.5 The Captain shall comply with all transport rules, renewals, periodic checks, and verification requests from the Platform, and shall not obstruct or falsify any compliance process.
Regulatory compliance
6.6 The Captain shall comply with the Motor Vehicles Act and applicable rules as in force from time to time.
6.7 The Captain shall comply with West Bengal transport requirements where applicable to the operating area.
6.8 The Captain shall comply with lawful aggregator directives and government notifications as updated from time to time.
7. Induction Training (Mandatory)
§Minimum 5-day training prior to activation
7.1 Training is a safety and compliance control and may be required prior to activation. The Platform may delay activation, require re-training, impose additional checks, or refuse continued access where necessary for safety, compliance, fraud prevention, or Platform integrity. Failure to complete training or repeated safety non-compliance may result in refusal of activation or permanent removal.
7.2 Safety, defensive driving, and passenger handling requirements.
7.3 App usage, booking workflow, verification steps, and compliance expectations.
7.4 Emergency / SOS protocols, incident reporting, and cooperation obligations.
7.5 Goods handling rules, prohibited items, and photo-capture steps where enabled.
7.6 Customer conduct standards, dispute prevention measures, and service quality requirements.
8. Driving Hours Limit
§8.1 The Captain shall comply with a maximum of 12 hours availability in any rolling 24-hour window. This limit is imposed to reduce fatigue-related risk; operating while fatigued materially increases the probability of accidents and may constitute unsafe conduct.
8.2 The Platform may enforce this limit through app controls and may restrict access, incentives, or eligibility where safety rules are breached.
9. Fares, Commission & Payouts
§9.1 Captain earnings shall be calculated based on the fare structure displayed in the app and/or the applicable city configuration at the time of Booking.
9.2 The Platform may deduct commission/platform charges, taxes (including withholding where applicable), refunds/chargebacks, and other lawful adjustments as disclosed in-app or under Policies.
9.3 The Captain shall receive not less than 80% of the applicable trip fare share, subject to lawful deductions, dispute outcomes, incentive eligibility rules, reconciliations, and Platform terms.
9.4 Payments may occur via online settlement (UPI/bank) and/or direct cash collection (where enabled) and remain subject to reconciliation, compliance checks, and dispute holds where lawfully permitted.
9.5 The Captain shall not demand or collect any amount beyond the app/declared fare for a Booking, except where lawfully required and transparently disclosed to the user. Any coercion, intimidation, or attempt to pressure users into “offline rides” or off-platform payments shall be treated as a serious breach.
10. Conduct Standards (Zero Tolerance)
§10.1 The Captain shall not operate under the influence of alcohol, drugs, or any intoxicant; suspected impairment may result in immediate offlining, suspension, and escalation.
10.2 The Captain shall not harass, discriminate, stalk, intimidate, or engage in sexually inappropriate behavior toward any user or third party.
10.3 The Captain shall not threaten, assault, abuse, or attempt to resolve disputes through force, coercion, or intimidation.
10.4 The Captain shall not demand extra fare, impose hidden charges, solicit forced tips, or otherwise charge beyond what the Platform shows or what law requires.
10.5 The Captain shall not force offline rides, solicit users for private contact, bypass Platform safeguards, or attempt to shift trips outside the Platform to avoid monitoring, compliance, or dispute mechanisms.
10.6 The Captain shall not carry prohibited goods (see Prohibited Goods).
10.7 Violations may result in immediate deactivation, forfeiture of incentives, and reporting to competent authorities where applicable. The Platform may preserve relevant records for safety investigations, enforcement, insurance support, and dispute handling.
11. Goods Services & Photo Capture
§Obligations
11.1 The Captain shall complete all required photo capture and in-app confirmations where enabled; missing evidence may be relied upon against the Captain in disputes and may affect eligibility for incentives or payouts where lawfully permitted.
11.2 The Captain shall refuse prohibited goods, suspicious consignments, or misdeclared items; the Captain has the right (and, where legally required, the duty) to refuse carriage to prevent unlawful activity or safety risk.
11.3 The Captain shall not open sealed packages unless legally required or safety-critical; where opening is required, the Captain shall follow lawful, safe, and documented handling steps as applicable.
Liability note (goods)
11.4 The Captain shall not be liable for goods damage unless caused by proven negligence or mishandling; however, carriage of prohibited goods, deliberate misrepresentation, or unsafe handling may create personal legal exposure and shall be treated as a material breach.
13. Data, Privacy & Device Requirements
§13.1 Data processing shall occur in accordance with the Privacy Policy, including location tracking during Trips, safety verification checks, and limited retention for compliance, incident handling, and dispute prevention.
13.2 The Captain shall not misuse user data (including contacting users outside Trips, harassment, selling data, or using data for non-trip purposes); any misuse is grounds for permanent deactivation and may attract legal action.
13.3 Trip and safety logs may be retained for safety, compliance, dispute handling, fraud prevention, and Platform integrity, subject to applicable law and policy.
13.4 The Captain shall secure their device and account credentials, shall not share access, and shall report suspected compromise promptly. Account sharing, identity substitution, or device tampering may result in permanent deactivation.
14. Platform Safety & Emergency Support
§14.1 The Captain shall cooperate with SOS/emergency protocols, including providing accurate information and following safety instructions during incidents.
14.2 The Captain shall respond to safety verification checks and shall provide evidence/clarifications as reasonably requested for safety investigations or dispute handling.
14.3 The Captain shall maintain a safe environment for passenger(s) throughout the Trip, including compliance with lawful capacity limits, safe driving practices, and refusal of unsafe or unlawful requests.
15. Suspension / Termination
§15.1 The Platform may restrict access, suspend, or terminate the Captain’s account for repeated cancellations, refusal to complete required steps, or manipulative behavior intended to avoid compliance controls.
15.2 The Platform may restrict access, suspend, or terminate for verified complaints supported by Trip records, communications, or safety signals.
15.3 The Platform may restrict access, suspend, or terminate for safety violations, harassment, intimidation, or misconduct of any kind.
15.4 The Platform may restrict access, suspend, or terminate for legal non-compliance, permit/insurance lapses, or refusal to provide lawful verification.
15.5 The Platform may restrict access, suspend, or terminate for fake documents, identity mismatch, account sharing, or fraud indicators.
15.6 The Platform may restrict access, suspend, or terminate for prohibited goods involvement, misdeclaration, or unsafe goods handling.
15.7 The Captain may cease using the Platform by uninstalling or closing the app; however, termination remains subject to settlement of dues, lawful dispute holds, and completion of any pending safety or fraud investigations.
16. Limitation of Liability
§16.1 The Platform shall not be liable for the Captain’s operational losses, vehicle expenses, battery/maintenance costs, downtime, loss of profits, or consequential damages.
16.2 The Platform shall not be liable for accidents, fines, challans, seizures, or legal consequences arising from the Captain’s conduct, negligence, breach, or non-compliance.
16.3 Delays, disruptions, or degraded performance may occur due to network conditions, device issues, maps, weather, infrastructure constraints, or third-party dependencies.
16.4 Nothing in this section limits any liability that cannot be excluded under applicable law. To the extent permitted by law, the Captain may be required to indemnify the Platform for losses arising from the Captain’s breach, misconduct, unlawful activity, or violation of Policies.
17. Governing Law & Jurisdiction
§17.1 This Agreement shall be governed by the laws of India. Courts at Bankura, West Bengal shall have jurisdiction, unless mandatory law requires otherwise.
18. Acceptance
§18.1 By tapping “I Accept” in the Captain App, the Captain accepts and signs this Agreement electronically, and the Platform may store acceptance records for audit, safety, compliance, and dispute handling.
